Terms of Service

These Terms of Service govern your access to and use of the Apex BioLabs storefront, website, customer account features, checkout, support channels, and related services. By using the storefront or placing an order, you agree to these Terms.

If you do not agree, do not use the storefront or purchase products from Apex BioLabs.

Research Use Only

All products sold by Apex BioLabs are offered strictly for laboratory research use only. Products are not intended for human use, veterinary use, food use, cosmetic use, household use, diagnostic use, therapeutic use, or any form of in vivo use.

You agree that you are purchasing products only for lawful, qualified research purposes and that you have the training, facilities, procedures, and authority needed to receive, store, handle, and use the products safely and legally.

You must not use, market, resell, relabel, or distribute any Apex BioLabs product as a drug, medicine, dietary supplement, food, cosmetic, medical device, treatment, cure, preventative, or product intended for human or animal consumption.

Eligibility

You must be at least 21 years old to use the storefront or purchase products. By placing an order, you represent that you are at least 21 years old and are legally permitted to purchase, receive, possess, and use the products in your jurisdiction.

Apex BioLabs may refuse, cancel, or limit orders if we believe an order is unlawful, unsafe, fraudulent, inconsistent with research-use-only restrictions, or otherwise inappropriate.

Customer Responsibilities

You are solely responsible for:

• Confirming that each product may be lawfully purchased, imported, received, possessed, stored, and used in your jurisdiction.
• Complying with all applicable federal, state, local, and international laws, rules, regulations, licensing requirements, import restrictions, and institutional policies.
• Using appropriate laboratory safety protocols, handling procedures, storage conditions, documentation practices, and disposal procedures.
• Ensuring that products are not used for human or veterinary administration, ingestion, injection, implantation, compounding, clinical use, or diagnostic use.
• Providing accurate account, billing, shipping, contact, and compliance information.

Apex BioLabs does not provide legal, medical, veterinary, scientific, regulatory, or safety advice. Any product information, descriptions, references, or educational content are provided for general informational purposes only and are not instructions for use.

Product Information

We work to provide accurate product names, descriptions, images, prices, stock information, and related content. However, storefront content may contain typographical errors, inaccuracies, omissions, or outdated information.

Apex BioLabs may correct errors, update content, change prices, limit quantities, discontinue products, or cancel orders at any time, including after an order is submitted. Product images are for identification and presentation purposes and may not exactly match packaging or appearance.

Orders and Acceptance

Submitting an order is an offer to purchase. Apex BioLabs may accept or reject that offer at its discretion. An order is not accepted until it has been reviewed and confirmed for fulfillment.

We may cancel or hold an order for reasons including suspected fraud, payment issues, inventory errors, shipping restrictions, compliance concerns, incorrect pricing, incomplete information, or suspected misuse of products.

Payment

You agree to provide accurate payment information and authorize the applicable payment processor to charge the full order amount, including product price, shipping, taxes, and other charges shown at checkout.

Payments may be processed by third-party payment providers. Apex BioLabs does not store full card numbers or private payment credentials. Third-party payment providers may apply their own terms, privacy notices, verification requirements, processing rules, or network fees.

Cryptocurrency or alternative payment options, when available, may be subject to time limits, network confirmations, exchange-rate changes, blockchain fees, and provider-specific rules. Payment is not complete until the payment provider confirms settlement.

Shipping and Delivery

You are responsible for providing a complete and accurate shipping address. Apex BioLabs is not responsible for delays, non-delivery, returns, loss, seizure, customs issues, carrier errors, or additional costs caused by inaccurate shipping information, restricted destinations, import rules, or circumstances outside our control.

Shipping times are estimates only. Title and risk of loss may pass to you when products are transferred to the shipping carrier, to the fullest extent permitted by applicable law.

If a package is refused, returned, abandoned, seized, delayed, or undeliverable because of your address, local rules, import restrictions, failure to collect, or similar circumstances, you may be responsible for the order cost, shipping cost, return cost, replacement cost, or other carrier charges.

Returns, Refunds, and Replacements

Because products are research materials that may require controlled handling and storage, returns may be limited or unavailable once an order has shipped. Apex BioLabs may, at its discretion, offer a refund, replacement, store credit, or other resolution for damaged, missing, incorrect, or unfulfilled items.

To request support for an order issue, contact Apex BioLabs promptly with your order information, photos when relevant, and a description of the issue. We may require reasonable documentation before issuing any resolution.

Shipping charges are generally non-refundable unless Apex BioLabs determines that a refund is appropriate under the circumstances.

Account Security

You are responsible for maintaining the confidentiality and security of your account access, email, authentication links, devices, and related credentials. You are responsible for activity that occurs under your account unless caused by Apex BioLabs' failure to use reasonable security measures.

Notify us promptly if you believe your account has been accessed without authorization.

Prohibited Uses

You must not:

• Use the storefront or products for unlawful, unsafe, fraudulent, abusive, or deceptive purposes.
• Purchase products for human or animal use.
• Misrepresent your identity, age, qualifications, intended use, location, or authority to purchase products.
• Attempt to bypass compliance checks, quantity limits, payment controls, security measures, or shipping restrictions.
• Interfere with the storefront, API, checkout, accounts, infrastructure, or other users.
• Scrape, copy, reverse engineer, or misuse storefront content, data, or software except as permitted by law.
• Resell or redistribute products in a way that violates these Terms or applicable law.

Intellectual Property

The storefront, branding, logos, product content, page content, software, images, layout, and other materials are owned by Apex BioLabs or its licensors and are protected by intellectual property laws. You may use the storefront only for its intended purpose and may not copy, modify, distribute, or exploit storefront materials without permission.

Third-Party Services

The storefront may integrate with third-party providers for payments, authentication, shipping, maps, communications, analytics, fraud prevention, or other operations. Apex BioLabs is not responsible for third-party services, websites, networks, wallets, processors, carriers, or platforms that we do not control.

Your use of third-party services may be governed by the third party's own terms and privacy notices.

No Warranties

The storefront and products are provided to the fullest extent permitted by law on an "as is" and "as available" basis. Apex BioLabs disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and suitability for any specific research objective.

You are solely responsible for determining whether a product is appropriate for your intended lawful research purpose.

Limitation of Liability

To the fullest extent permitted by law, Apex BioLabs will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost data, business interruption, research interruption, product misuse, regulatory consequences, import issues, or loss of goodwill.

To the fullest extent permitted by law, Apex BioLabs' total liability for any claim related to an order, product, storefront use, or these Terms will not exceed the amount you paid to Apex BioLabs for the order giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Apex BioLabs and its owners, operators, team members, contractors, service providers, and affiliates from claims, losses, liabilities, damages, costs, and expenses arising from your breach of these Terms, misuse of products, unlawful conduct, inaccurate information, violation of rights, or failure to comply with applicable laws and regulations.

Changes to These Terms

Apex BioLabs may update these Terms from time to time. The "Last updated" date shown on the storefront reflects the effective date of the published version. Your continued use of the storefront after changes are published means you accept the updated Terms.
